1. Introduction and Acceptance of Terms
These Terms of Service (“Terms”) establish the contractual framework governing the relationship between Oxyfy DOOEL, a limited liability company registered in Skopje, North Macedonia (“Seller”), and all individuals and entities who access our e-commerce platform or purchase products (“Customer”).
By accessing our website, browsing our product catalog, or placing an order, you expressly acknowledge and agree to be bound by these Terms in their entirety. If you do not agree with any provision herein, you must immediately cease using our platform.
Applicable Law: These Terms shall be governed by and construed in accordance with the laws of the Republic of North Macedonia. Any disputes shall be exclusively resolved in the competent courts of Skopje, North Macedonia.
2. Product Information and Disclaimers
Accuracy of Descriptions: The seller endeavors to provide accurate product descriptions, images, and information. However, we do not warrant the complete accuracy of all content. Minor variations in color, size, or appearance may occur due to photography, display settings, or natural product variations.
Intended Use: All products are intended solely for culinary and general consumption purposes. We expressly disclaim any health, medicinal, therapeutic, or curative claims regarding our products. Customers must consult qualified healthcare professionals regarding any health-related concerns.
Allergen Information: Products may contain common allergens including nuts, seeds, and other substances. Customers with known allergies must carefully review product packaging and ingredient information prior to purchase. The seller shall not be liable for adverse allergic reactions resulting from product use.
Product Sourcing: All products are sourced from established suppliers specializing in organic and biological items. Product certification status varies by item. Customers are responsible for verifying certification claims and reviewing detailed product information on packaging.
3. Order Placement and Acceptance
Order Process: Orders are placed through our website by: (1) selecting desired products, (2) specifying quantity, (3) providing delivery and payment information, and (4) confirming submission.
Confirmation vs. Acceptance: Receipt of an email order confirmation does not constitute acceptance of your order. A binding contract is formed only upon our transmission of an Order Acceptance notice, typically within 24 business hours.
Right of Refusal: The seller reserves the right to refuse, cancel, or conditionally accept any order, including orders involving suspected fraud, inaccurate information, out-of-stock items, or non-compliance with these Terms. Customers will be promptly notified of any order refusal.
4. Pricing, Taxes, and Payment
Price Structure: All prices are displayed in Macedonian Denar (MKD) and include applicable Value-Added Tax (VAT) as prescribed by Macedonian law. Prices remain subject to change without notice, provided such changes shall not affect previously confirmed orders.
Shipping Costs: Shipping fees will be calculated and displayed prior to final order confirmation. Shipping charges are separate from product prices and will be added to your total invoice.
Payment Methods: Payment via bank transfer is the primary accepted method. Payment must be received and cleared in our account prior to order fulfillment and shipment.
Payment Security: We employ industry-standard encryption and security protocols to protect payment information. Customers are responsible for maintaining the confidentiality of their account credentials. The seller is not liable for unauthorized access resulting from customer negligence.
Failed Payments: Declined or failed payments will prevent order processing. Multiple payment failures may result in automatic order cancellation.
5. Shipping and Delivery
Shipping Territory: The seller currently ships exclusively within the Republic of North Macedonia.
Delivery Timeframes: Estimated delivery dates provided at checkout are projections and not guarantees. Delays may result from courier delays, adverse weather, high order volumes, or other circumstances beyond reasonable control. The seller shall not be liable for such delays.
Delivery Address Responsibility: Customers are solely responsible for providing complete and accurate delivery addresses. We are not responsible for failed or delayed deliveries resulting from inaccurate address information provided by the customer.
Risk Transfer: Risk of loss and damage transfers to the customer upon delivery to the specified address. After delivery, the customer assumes all responsibility for the product condition and proper storage.
Lost Shipments: Should shipments fail to arrive within the estimated delivery period plus five (5) additional days, customers must contact us at contact@bioteka.mk. We will coordinate with the courier for recovery. If recovery is unsuccessful, we will issue a refund or replacement at our discretion.
6. Returns, Refunds, and Exchanges
Return Window: In accordance with Macedonian consumer protection legislation, customers may withdraw from purchase contracts within ten (10) calendar days from the delivery date without stated reason (the “Withdrawal Period”). This right does not apply to opened, partially consumed, or damaged products.
Return Initiation: To exercise return rights, customers must: (1) contact us at contact@bioteka.mk within the Withdrawal Period, (2) clearly state their intention to return, (3) provide the order number and reason for return, and (4) describe the product condition. Return shipping instructions will be provided upon approval.
Return Condition Requirements: Returned products must be: (i) unopened and unused, (ii) in original packaging, and (iii) accompanied by the original order receipt or invoice.
Return Shipping Costs: Return shipping expenses are the responsibility of the customer. Refunds will be processed within five (5) business days of receipt and inspection and credited to the original payment method.
Complimentary Replacements: Products arriving damaged or defective will be replaced at no cost to the customer, with return and replacement shipping covered by the seller. Replacements will be shipped within ten (10) business days of receiving the return.
Non-Returnable Items: The following products cannot be returned: opened or consumed items, products damaged due to customer mishandling, liquids with compromised seals, and products purchased outside the ten-day Withdrawal Period.
7. Warranty and Liability
Limited Warranty: The seller warrants that: (i) products are accurately described on the website, (ii) products arrive in good condition, (iii) products are genuine items from authorized suppliers, and (iv) products comply with Macedonian food safety regulations.
Damage in Transit: Products arriving damaged must be reported within three (3) business days with photographic evidence. The seller will, at its discretion, either issue a full refund or send a complimentary replacement.
Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SELLER SHALL NOT BE LIABLE FOR: (i) indirect, incidental, special, consequential, or punitive damages; (ii) loss of profits, revenue, data, or business opportunity; (iii) personal injury or property damage; (iv) allergic reactions or adverse health effects; or (v) emotional distress or reputational harm, even if the seller has been advised of such possible damages.
Liability Cap: The seller’s total liability for any claim arising from these Terms shall not exceed the total amount paid for the products in question.
8. User Accounts and Security
Account Responsibility: Customers creating accounts agree to provide accurate and current information and are solely responsible for maintaining password confidentiality.
Prohibited Activities: Customers shall not: (i) use the platform for fraudulent or illegal purposes, (ii) provide false or misleading information, (iii) access or tamper with website systems, (iv) harass or threaten staff or other users, or (v) attempt unauthorized access to accounts or payment systems.
Account Termination: The seller reserves the right to suspend or terminate accounts at any time, with or without notice, for violation of these Terms or prohibited activities.
9. Intellectual Property Rights
All website content, including text, images, logos, graphics, and design elements, is the exclusive property of the seller or licensed suppliers and is protected by Macedonian and international copyright law.
Customers are granted a limited, non-exclusive, non-transferable license to access and browse the website for personal, non-commercial purposes only. Reproduction, distribution, republication, or commercial use of website content without prior written consent is strictly prohibited.
10. Data Protection and Privacy
The seller collects and processes personal data (name, email, address, payment information) necessary for order fulfillment and customer communication. This data is protected under Macedonian data protection legislation.
Our website operates on the WooCommerce e-commerce platform, which maintains compliance with applicable data protection standards.
Customers may receive marketing communications regarding orders, updates, and special promotions. Promotional emails may be declined at any time by clicking the “Unsubscribe” link or contacting us directly.
11. Dispute Resolution
Informal Resolution: Should concerns or disputes arise, customers should contact us at contact@bioteka.mk. We will make reasonable efforts to resolve matters within fourteen (14) business days.
Formal Complaints: Formal complaints must be submitted in writing to contact@bioteka.mk and include: (i) order number, (ii) purchase date, (iii) detailed description of the issue, and (iv) supporting evidence. We will investigate and respond within thirty (30) days.
Alternative Dispute Resolution: Before pursuing legal action, both parties agree
to attempt good-faith negotiation. If negotiation is unsuccessful, disputes may be subject to mediation or arbitration as permitted under Macedonian law.
Legal Proceedings: Any legal action must be brought exclusively in the competent
courts of Skopje, North Macedonia.
12. Website Disclaimers
The website and all products are provided on an “as is” and “as available” basis. Oxyfy DOOEL does not guarantee uninterrupted website access, error-free operation, or complete security from unauthorized access.
We do not endorse any specific health, medicinal, or therapeutic use of products.
Third-party statements or claims, including customer reviews, are not endorsed by Oxyfy DOOEL.
The website may contain links to external sites. The seller is not responsible for the content, accuracy, or practices of external websites.
13. Force Majeure
The seller shall not be liable for failure to perform obligations when such failure results from events beyond reasonable control, including: natural disasters, severe weather, governmental action, pandemics, wars, supplier failures, or communication system failures.
In the event of force majeure affecting order fulfillment, the seller will make reasonable efforts to: notify customers promptly, minimize disruptions, offer refunds or alternative solutions, and resume operations expeditiously.
14. Service Termination
The seller may terminate or suspend services, discontinue products, or modify the website at any time, with or without notice. Customers may cease using the website at any time; however, termination does not affect previously accepted orders.
15. Entire Agreement and Severability
These Terms of Service, together with the Privacy Policy and referenced policies, constitute the entire agreement between the parties and supersede all prior understandings or agreements, whether written or oral.
Should any provision be found invalid or unenforceable, that provision shall be severed, and remaining provisions shall continue in full force and effect.
